1. Agreement to these Terms
These Terms of Use (“Terms”) govern your access to and use of Lunvero, a billing and invoicing platform for service businesses (the “Service”), operated by Charlie & Co., operating as Lunvero, of 5204 Easton Rd, Burlington, Ontario, Canada (“Lunvero,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you are agreeing on that business’s behalf and confirming you have the authority to do so.
2. The Service
Lunvero lets a business create quotes and invoices, bill clients on a one-time or recurring basis, track time and expenses, and collect payment from its own clients. Each business (a “Workspace”) gets its own branded subdomain and connects its own Stripe account to receive payments from its clients.
3. Accounts and Workspaces
You must provide accurate information when creating a Workspace and keep your account credentials secure. You are responsible for all activity that occurs under your account and Workspace, including activity by staff you invite. Notify us promptly at [email protected] if you suspect unauthorized use of your account.
4. Subscription, Trial, and Billing
Access to a Workspace requires an active paid subscription. Current pricing is displayed at signup and starts at $8.00 CAD per month. New Workspaces include a 14-day free trial; no charge is made until the trial ends. After the trial, your subscription renews automatically each billing period and your payment method is charged automatically, until you cancel. Fees are billed and processed by Stripe on our behalf. We may change subscription pricing on a going-forward basis with reasonable notice before it applies to your next billing period.
You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law. If a payment fails or your subscription lapses, we may restrict Workspace access to a read-only state until payment is resolved.
5. Your Own Payment Processing
When you connect your own Stripe account, payments from your clients go directly to you through your Stripe account under Stripe’s own terms of service. Lunvero is not a party to those transactions, does not hold or control funds paid by your clients to you, and is not responsible for chargebacks, refunds, tax collection, or disputes arising from your billing relationship with your own clients. You are solely responsible for the accuracy of the quotes, invoices, and charges you issue through the Service.
6. Acceptable Use
You agree not to use the Service to:
- Issue fraudulent, deceptive, or illegal invoices or quotes;
- Violate any law or the rights of any third party, including privacy and data protection laws applicable to your own clients’ information;
- Attempt to gain unauthorized access to another Workspace or to the Service’s infrastructure;
- Interfere with or disrupt the integrity or performance of the Service; or
- Use the Service to send spam or unsolicited communications.
We may suspend or terminate access to a Workspace that we reasonably believe violates these Terms.
7. Your Content and Data
You retain ownership of the client records, invoices, quotes, and other business data you enter into your Workspace (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide and support the Service. You are responsible for having the necessary rights and permissions to store your clients’ information in the Service. See our Privacy Policy for how we handle personal information.
8. Intellectual Property
Lunvero and its licensors own all right, title, and interest in the Service, including its software, design, and branding, excluding Your Content. Nothing in these Terms grants you rights to use Lunvero’s trademarks or branding without our prior written consent.
9. Third-Party Services
The Service relies on third-party providers to operate, including Stripe (payments), Auth0 (sign-in), Brevo (transactional email), and infrastructure providers described in our Privacy Policy. Your use of those providers’ own services (for example, your Stripe account) is governed by their own terms.
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your subscription lapses and is not resolved within a reasonable period. On termination, your right to access the Workspace ends; we will retain or delete Your Content in accordance with our Privacy Policy and applicable law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Lunvero is a billing and invoicing tool, not a substitute for legal, tax, or accounting advice; you are responsible for confirming that your use of the Service complies with tax and other obligations applicable to your business.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUNVERO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE THREE MONTHS BEFORE THE CLAIM AROSE. Nothing in these Terms limits liability that cannot be limited under applicable Ontario or Canadian law.
13. Indemnification
You agree to indemnify and hold Lunvero harmless from any claims, damages, or expenses arising from your use of the Service, Your Content, or your violation of these Terms or applicable law, including any claim brought by your own clients relating to invoices, quotes, or charges you issued through the Service.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. You and Lunvero each submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute not otherwise resolved.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
